1. 지급보증시 일반적인 주의사항

지급보증시에 일반적으로 주의하여야 하는 사항은 법령 및 규정에 의한 허가, 보증인의 채권보전 및 보증한도를 들 수 있다. 여기서 참고적으로 지적을 하고 싶은 사항은 지급보증채권과 일반대출채권은 그 위험도가 아주 동일하다는 점이다. 일반적으로 지급보증은 자금부담이 없어 간단하게 생각하는 경향이 있음을 관찰할 수가 있다. 그러나 회사가 도산한 경우 지급보증대지급금이나 일반대출이나 조금도 다름이 없어 불건전채권화하게 되는 것이기 때문에 지급보증취급시 일반대출취급의 경우와 같은 주의를 하여야 한다.

가. 법령 및 규정에 의한 허가

지급보증을 발급함에 있어서 관계법령과 규정에 의하여 허가, 승인, 인증을 필요로 하는 경우에는 이들의 절차를 필하여야 한다. 관계법규 및 규정이라 함은 대외무역법, 동법 시행령 및 대외무역관리규정, 외국환관리법?동법 시행령 및 외국환관리규정, 외자도입 및 외국인투자에 관한 법?동법시행령 및 동법 시행규칙, 해외건설촉진법 및 동법 시행령, 군납촉진에 관한 임시조치법 및 동법 시행령을 들 수 있다.

나. 채권보전

지급보증은 자금을 대출하는 것은 아니나 보증의뢰인(principal)이 채무이행을 하지 못하는 경우에는 대지급을 하여야 하므로 채권보전에 만전을 기하여야 한다. 보증의뢰인의 신용상태가 양호하면 신용취급을 할 수 있는 것이나 그렇지 못한 경우에는 응분의 담보를 취득하여야 하며 그 종류는 다음을 열거할 수 있다.

(1) 부동산 또는 유가증권

채권보전의 방법으로 부동산이나 유가증권을 담보로 취득할 수 있으며 가장 보편적으로 사용되는 방법이다.

(2) 개인 또는 법인의 연대보증

신용있는 개인이나 법인이 연대로 立保토록 하는 방법이다. 이는 신용취급일 때나 기타 담보로 취득할 때에나 병행하여 취득된다.

(3) 동 산

선박, 자동차, 중장비기계 또는 기계 등의 동산을 담보로 취득할 수 있다.

(4) 미확정채권의 양수

보증의뢰인이 건설 또는 수출로 얻을 수 있는 대가(미확정채권)를 양수받음으로서 채권을 보전하는 방법이다. 이 때 발주자 또는 관계은행의 승낙을 받아야 하는 점에 주의를 요한다. 해외건설의 경우에는 각행 소정의 지명채권양도통지서 2매를 작성하여 1매는 상대자가 보관한다.

(5) 타금융기관의 대내지급보증

타금융기관이 발급한 대내담보조지급보증을 취급하고 지급을 보증하는 방법이며 가장 간단 명료한 방법이나 다음에 주의하여야 한다.

①보증서의 내용에 구상권행사에 지장을 초래하는 유보문언이나 특수조건이 없는가 확인하여야 한다.

②외화표시지급보증을 발급하는 경우에는 대내지급보증서의 통화가 외화표시지급보증의 그것과 같아야만 환위험을 면할 수 있다.

③담보조보증서의 금액을 원보증의 원금과 이자를 포함한 금액으로 하도록 하고, 이자변동에 따른 추가금액에 대해서도 충분히 고려하여야 한다.

④대내담보조지급보증의 유효기간은 원보증서의 유효기간에 우편일수를 가산하여 정하여야 하며 유효기간이 종료하는 지점을 원보증은행의 창구로 하여야 한다.

(6)예금, 적금

담보로서 허용되는 범위내에서 예금이나 적금을 담보로 취득할 수 있다.

다. 지급보증의 한도

지급보증을 함에 있어서는 지급보증인인 은행의 위험과 보증의뢰인의 위험을 고려하여야 하는 관계로 다음과 같은 금융한도에 제한이 있다.

(1) 금융기관의 지급보증한도

은행법 §15에 의한 보증한도는 다음과 같다.

① 보증 또는 인수한 채무액은 금융기관의 자본금과 적립금의 합계액의 200분의 10이하이어야 한다.

② 그러나 위①항의 채무액의 합계에는 다음의 채무는 포함되지 않는다.

ⅰ. 타 금융기관, 신용장보증기금, 보험회사 또는 이와 유사한 기관으로부터 채무의 보증이나 보험에 의한 보장을 받아 보증 또는 인수한 채무

ⅱ. 정부가 원리금의 상환을 보증한 채무를 보증 또는 인수한 때

ⅲ. 국가 또는 지방자치단체를 위하여 보증 또는 인수한 채무

(2) 대상업체 업종별한도

대상업체 업종별로 회사의 자기자본의 400%～1,000% 범위내에서 한도를 정하여 원칙적으로 그 한도내에서 지급보증을 하여야 한다.

2. 지급보증서의 순환

대외지급보증서인 경우에는 보증기관에 의하여 발급된 후, 수익자가 금융기관이 아니면 외국의 은행을 통하여 통지되며 은행이 수익자이면 수익자인 은행이 보관한다. 보증의뢰인이 채무를 이행하면 지급청구없이 환부되나 그렇지 못하면 금융기관을 통하여 지급청구를 하게 된다. 대내지급보증은 발급되어 수익자에게 직송된다. 여기서는 대외지급보증의 순환을 논하고자 한다.

가. 지급보증서의 발급

(1) 신청시 제출서류

거래의 내용에 따라 다르나 공통서류를 고려하면 아래와 같고 특수한 것은 해당처에서 고찰하기로 한다.

① 지급보증약정서 등 일반적인 채권보전서류

② 지급보증서발급신청서 또는 보증신용장개설신청서

소정의 양식이 있으면 이를 사용하고, 없으면 상업신용장발행신청서(application for commercial letter of credit)를 이용하여 발급코자 하는 보증의 내용을 별지 에 타자하여 첨부하면 된다.

③ 채권발생 등의 당사자허가서 또는 인증신청서

허가가 필요한 때에는 외국환관리규정의 정하는 바에 따라 한국은행총재의 허 가서 또는 재경원장관의 허가서를 제출하여야 한다.

④ 기타 필요한 서류

거래에 따라 상이한 서류가 필요하다. 다음에 고찰할 것이다.

(2) 보증서의 형식과 발급방법

보증서의 내용은 보증의 수익자가 될 자가 ICC의 표준양식 또는 자기가 원하는 양식을 지정하는 것이 통상이다. 따라서 발급기관이 내용에 대한 선택의 여지가 없는 경우가 대부분이다. 또 보증신용장, 지급보증서, 약속어음의 배서 또는 환어음의 인수 등의 형식도 역시 정하여진 대로 발급되게 마련이다. 발급의 방법은 신용장의 개설과 같이 우편과 전신의 두 가지 방법이 이용될 수 있으나 전자가 대부분이다. 후자에 의할 때에는 전신재보를 송부하는 여부를 전신에 명기하는 것이 좋다.

(3) 조건변경

보증서가 일단 발급되었더라도 차후 사정의 변경으로 조건변경을 요하는 경우가 있다. 이 때에는 신규발급될 때에 제출되었던 서류 중에서 변경을 요하는 것이 있으면 이들 서류의 조건변경을 제출하여야 하며 조건변경신청서를 제출하여야 하나 소정의 양식이 없으면 상업신용장 조건변경신청서를 이용하면 된다.

나. 지급보증서의 통지

먼저 약술한 바와 같이 보증의 수익자는 은행이 되는 경우와 기타의 자가 되는 경우의 2가지가 있다. 전자의 경우는 수출선수금환급보증에서와 같이 선대신용장의 개설은행이 되거나 현지지사의 금융담보조지급보증에서 여신공여은행이 수익자가 되는 사례가 그것이다.

수익자가 금융기관이 아닐 때에는 은행을 통하여 통지하게 된다. 거래의 내용에 따라서는 통지은행을 지정하는 경우도 있고 그렇지 않은 경우도 있다. 지정되지 않은 경우에는 발급은행의 지점 또는 환거래은행을 통하여 통지하게 된다. 확인이 요청되는 경우에는 이를 요청하여야 하므로 이를 할 수 있는 은행을 통지은행으로 선정하여야 한다.

다. 지급청구

보증채무가 해지되면 그것으로 보증서의 순환은 끝나나 보증의뢰인이 채무이행을 못한 경우에는 수익자가 보증서에서 요구하는 서류를 은행을 통하여 보증인에게 제출함으로서 지급의 청구(claim)를 하여야 한다. 보증의 수익자는 보증채무를 이행하지 못하게 된 일자로부터 원리금 및 부대비용을 상환받을 수 있다. 지급보증하의 지급은 거의가 송금 베이스이다. 이러한 지급청구를 받았을 경우에는 보증의뢰인에게 연락하여 대금지급을 받아야 한다. 외화인 때에는 전신환매도율에 의거하여 징수한다. 보증의뢰인이 지급청구에 응하지 못하여 대지급을 하는 경우 외화인 때에는 역시 전신환매도율로 환산하여 기표한다. 이 외화지급에 대한 지급인증이나 허가를 요하지 않는다.

3. 수출입거래에 따른 보증

가. 수출입계약보증

계약보증(contract guarantee)으로서 수출입거래에 관련되는 입찰보증, 이행보증 통상의 환급보증과 선대신용장에 따른 환급보증을 고찰하기로 한다.

(1) 입찰보증

수출입거래에 따른 입찰보증은 2가지 사례가 있을 수 있다. 하나는 외국의 수입자 또는 정부 등이 물품을 가급적 저렴한 가격으로 도입할 목적으로 국제경쟁입찰방식으로 물품을 수입하는 경우에 입찰보증에 문제가 생기며, 다른 하나는 산업설비의 수입에 있어서 수입자가 역시 입찰방식으로 수입하는 경우이다. 보통 입찰금액의 1～5%해당액의 입찰보증을 요구하고 있다. 입찰보증신청시에는 다음 서류를 제출하여야 한다.

① 지급보증발급신청서 또는 보증신용장개설신청서

② 채권발행당사자인증신청서 또는 무역외지급인증신청서

[예시 ] 입찰보증

We hereby issue our irrevocable Letter of Guarantee No. in your favour for account up to the aggregate amount of US$ (Say US Dollars)as Bid Bond in connection with your Bid Invitation No. dated for the supply of .

This guarantee shall be available against your sight draft drawn on us accompanied by your written statement certifying that Accountee has been awarded the bid and has failed to enter into a corresponding contract or, has failed to post a performance bond within the designated period.

We hereby agree that all drafts drawn under and in compliance with this stand-by L/C will be duly honoured upon presentation at this office on or before .

입찰보증을 은행 등의 지급보증서 또는 보증신용장으로 제출코자 하는 경우에는 채권발생당사자인증신청서를 제출하여야 하며, 통상산업부장관의 국제입찰참가승인을 받은 경우에는 별도의 허가가 필요하다.

③입찰공고서 또는 입찰안내서

④사업계획서

⑤일반적인 은행채권관계서류

⑥설비수출인 경우에는 수주 사전신청서

⑦기타 필요한 서류(산업설비수출의 경우는 그 수출자격입증서류 등)

(2) 이행보증

전술한 입찰에서 낙찰이 되면 project의 성실한 이행을 담보하기 위하여 이행보증을 제출하여야 한다. 보증금액은 거래에 따라 상이하나 10%인 것이 보통이다. 보증신청서 다음 서류를 제출한다.

①지급보증발급신청서 또는 보증신용장개설신청서

②채권발생당사자인증신청서 또는 무역외지급인증신청서

③낙찰이 되었음을 증명하는 서류 및 계약동의서

④사업계획서(입찰보증신청시보다 구체적인 사항이 기재된 것)

⑤기타 필요한 서류

(3) 일반적인 환급보증

수출자가 상품의 선적전에 상품대금의 일부 또는 전부를 선지급받은 경우에 이에 대한 환급을 보증하고자 하는 경우에 환급보증을 상대방에게 제출하여야 한다. 착수금조로 지급을 하거나 또는 선박 등의 경우 건조단계에 따라 2～3회 분할하여 중간선수금을 지급받는 사례에서 발생한다. 보증신청시 제출서류는 아래와 같다.

①지급보증발급신청서 또는 보증신용장개설신청서

②채권발생당사자인증신청서 또는 무역외지급인증신청서

③계약서

④수출승인서

⑤기타 필요한 서류

(4)선대신용장의 수취를 위한 환급보증

신용장에 의한 선적서류의 매입에서 언급한 바 있다. 제출서류는 위(다)항과 같다.

〔예시 〕이행보증

Upon receiving your reimbursement claims under this Guarantee, remittance shall be made through the Bank designated by you.

〔예시 〕환급보증

Letter of Guarantee No.

Gentlemen:

We hereby issue our irrevocable Letter Of Guarantee No. in favor of (hereinafter called "Builder" for account of (hereinafter called "Builder" which term shall include any of Builder's successors and assignees) as follows in connection with Contract for construction of tanker (Hull Number ) concluded by and between Buyer and the Builder on .

We hereby guarantee to refund to the Buyer the Advance Payment made by the Buyer to the Builder prior to the delivery of the Vessel not exceeding principal U.S. Dollars together with Interest thereon at the rate of seven percent per annum from the day following Date of Receipt by the Builder of the Advance to the Date of Remittance by Telegraphic Transfer of such Refund.

The above Refund Amount under this Letter of Guarantee shall be the amount of Installment in U.S. Dollars actually paid by the Buyer plus Interest hereon computed from the day following date of receipt by the Builder of the advance to the date of remittance of such refund.

This Letter of Guarantee is available against the Buyer's simple receipt and signed statement certifying that their demand for Refund has been made in accordance with Paragraph( ) of the said Contract.

This Letter of Guarantee shall be in force from the Date of actual Receipt of the First Installment in the amount of U.S. Dollars.

The Amount of this Letter of Guarantee will be automatically increased upon Receipt by the Builder of each Installment in the amount of U.S. Dollars.

The Amount of this Letter of Guarantee will be automatically increased upon Receipt by the Builder of each Installment in accordance with Paragraph and Paragraph Article 2, not more than three times, each time by an Amount of U.S. Dollars plus Interest thereon in the same method stipulated in the Second and Third sentences of this Letter of Guarantee.

나. 수출입에 따른 기타 보증

(1) 종 류

수출입에 따른 기타 보증은 운임지급보증, 관세담보조보증, 수입화물선취보증(shipping guarantee, L/G), 환어음의 인수 또는 신용장의 확인을 들 수 있다.

　

(2) 운임지급보증과 관세담보조보증

수입상품이 석유나 기타 용적이 큰 화물인 경우에 freight를 제외한 기한부신용장을 개설하고 운임에 대하여는 보증신용장을 개설하도록 요구하는 예가 있다. 이를 운임신용장(freight credit)이라고도 한다.

　〔예시 〕운임지급보증

We hereby agree that all drafts drawn under and in compliance with this letter of credit will be duly honored upon presentation at this office on or before .

　

관세담보조보증은 국내의 수출업자가 관세의 징수를 유예하고자 하는 경우에 담보를 제출하여야 한다. 이 때 은행의 지급보증은 제출하고자 하는 경우에 발급된다.

　(3) 기 타

수입담보화물선수보증과 신용장의 확인은 이미 고찰한 바 있으므로 생략하기로 하며 환어음의 인수에 대하여는 일고를 요한다. 기한부신용장일 때에 그 신용장에 근거하여 발행된 어음이 개설은행에 내도하면 인수를 하게 된다. 인수한 어음 지급인이 만기에 지급을 이행하겠다는 약속을 의미하는 것이므로 보증의 한 형태이다. 고로 L/C거래에서는 L/C에 의한 보증과 환어음의 인수에 의한 보증이 공존한다고 볼 수 있다. 그러나 이들은 한 건에 대한 보증이므로 보증료를 이중으로 지급하지는 않으며 L/C의 유효기일이 환어음의 만기전일자인 경우라도 환어음의 만기까지 개설수수료를 징수한다.

4. 건설 및 용역사업에 따른 보증

건설 및 용역사업에 따른 보증은 국내의 그것과 해외의 그것이 있으나 주로 해외 project에 따른 것이 압도적으로 많으므로 이를 고찰하기로 한다.

가. 입찰보증

해외건설 및 용역사업에서 발주자(owner)가 시공자(contractor)를 정하는 방법에는 공개 경쟁입찰과 수의계약의 방법이 있으나 전자가 대부분이다. 따라서 입찰에 참가하고자 하는 자는 입찰보증을 적립하여야 하며 입찰보증의 양식은 발주자가 지정하는 것이 보통이다.

〔예시 〕입찰보증

나. 이행보증

입찰의 결과, 낙찰이 되면 이행보증을 요구하는 경우가 대부분이며 이 이행보증은 계약의 체결전에 또는 낙찰통지서(notice of award) 또는 계약체결동의서(letter of intent)를 받은 후 일정기간내에 발급되어야 하는 예도 있다.

(c) The covenants herein contained constitute unconditional and irrevocable direct obligations of the guarantor. No alternation in the terms of the contract or in the extent or nature of the work to be performed thereunder and allowance of time by you or other for bearance or concession or any other act or ommission by you which but for this provision might exonerate or discharge the guarantor shall in any way release the guarantor from any liability hereunder.

(d) This guarantee shall remain valid and in full force and effect up to the end of the day of of the year by which time any claim hereunder must be received by the agent of the guarantor in Saudi Arabia, namely, (bank).

(e) The guarantor represents and warrants that the amount of this guarantee plus all other facilities granted by them to their client

in connection with their work executed in Saudi Arabia does not exceed 20 percent of the total of the paid up capital and reserves of the guarantor.

(f) This guarantee is governed by and shall be construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia.

다. 환급보증

계약이 체결된 후, 발주자(owner)는 공사의 시행을 위하여 일정금액 약 10%정도의 선지급을 하게 되며 이때 은행 등의 지급보증서를 요구한다.

〔예시 〕보증

TO: LT RIADBANK RIYAD (TLX NO. OO61)

We hereby issue our Irrevocable Letter of Guarantee No. for up to the Aggregate Amount of Saudi Riyals 2,000,000(Say Saudi Riyals Two Million only) in favor of (Hereinafter Called Beneficiary) for Account of (hereinafter called Accountee) as a Refund Guarantee for the Advance Payment for up to Saudi Riyals 2,000,000 to be effected by Beneficiary to Accountee in accordance with the Agreement for Aerial Mapping and Masaic Photographs for 86 Villages/Towns in Saudi Arabia dated made by and between Beneficiary and Accountee (hereinafter called the Agreement).

This Letter of Guarantee shall be available against Beneficiary's sight draft drawn on Accountee accompanied by Beneficiary's Signed Statement certifying that Accountee has failed to repay the above mentioned Advanced Amount in accordance with Terms and Conditions of the Agreement.

This Letter of Guarantee shall be valid until Oct 31, 19×× after which date this Guarantee shall become null and void.

In reimbursement of claims under this Guarantee remittance shall be made through the bank designated by Beneficiary.

Please advise Beneficiary accordingly.

라. 하자보증

계약된 사업이 완료되면 하자에 대하여 보증을 하지 않으면 안된다. 이에 대한 보증을 하자보증이라 하며, 원래는 총계약금액의 10% 정도를 유보(retention)하고 있다가 보증기간이 경과되면 시공자에게 지급하는 것이나 그렇게 되면 시공자가 자금부담을 면할 수 없으므로 이를 지급하는 대신에 유보급(retention money)에 대한 보증을 요구하는 것이다. 따라서 이를 retention money bond 라고 하는 것이다. 또 설비수출의 경우에도 일정기간의 성능보증을 요구하는 예가 있다.

마. 지급보증(payment bond)

건설업체 등이 현지에서의 장비, 자재구입대전, 현지고용인노임보험료, 장비임차료 및 제세공과금 등의 지급을 보증하기 위하여 발주자 앞으로 제출하는 경우와 발주자와 공사취하대금의 지급을 보증하기 위하여 시공자 앞으로 제출하는 경우와 하도급계약에 있어서 공사의 원청자가 하청대전의 지급을 보증하기 위하여 제출하는 경우가 있다.

바. 관세담보조보증(customs bond)

공사수행에 필요한 각종 자재의 현지 통관시 관세납부를 보증하기 위하여 현지세관 앞으로 지급보증을 하는 경우가 있는데 이를 customs bond라고 한다.

5. 자본거래에 따른 보증

자본거래에 따른 보증은 외자도입에 따른 보증과 외화채권발행지급보증을 들 수 있다.

(1) 외자도입에 따른 보증

이 보증은 상업차관, 기술도입에 대한 보증을 들 수 있다.

(2) 은행차관 및 전대차관의 도입에 따른 보증

은행차관이나 전대차관의 도입에 따른 보증은 지급보증서에 의하는 경우와 약속어음에 의하는 경우가 있다. 또 때로는 양자를 다 요구하는 경우도 있다.

6. 기타 거래에 따른 보증

가. 현지금융담보조지급보증

(1) 해외건설 및 용역사업의 현지금융지급보증

해외건설이나 해외용역사업을 하는 자는 그 규모가 크므로 자금수요가 막대하다. 또 해외에 있는 지사나 사무소가 직접 소요자재 등을 수입하므로 현지에서 자금지원을 받을 필요가 절실하여 진다. 그러나 현지에 이를 커버할 수 있는 담보가 충분하지 못하므로 본사가 현지금융울 담보하게 되고 통상 이를 위하여 지급보증서나 보증신용장을 개설하게 된다. 또 사업의 규모가 방대하므로 거래은행이 현지주재원을 파견하여 금융관계사항을 관리하도록 하는 예도 있다. 이와 같은 보증신청을 받은 경우, 은행은 다음 사항에 주의하여야 한다.

① 현지금융의 사용용도, 규모 및 적용금리의 적정성

② 금액에 현지금융에 따른 부대비용이 포함되지 않아야 한다.
